1
Introduction
These Partnership Terms govern partnerships, collaborations, referrals, business arrangements and other commercial relationships involving Aftersolves. A partnership may involve:
- Referral partners.
- Business development partners.
- Technology partners.
- Integration partners.
- Resellers.
- Service providers.
- Marketing collaborators.
- Strategic business partners.
- Project-based collaborators.
These Terms apply unless a separate written partnership agreement specifies otherwise.
2
Nature of partnership
A partnership with Aftersolves does not automatically create a legal partnership, joint venture, employment relationship, agency or ownership arrangement. Each party remains an independent business or individual unless expressly agreed otherwise in writing. Neither party may legally bind the other without authorization.
3
Partnership approval
All partnership proposals are subject to review and approval by Aftersolves. We may evaluate business suitability, technical capabilities, commercial arrangements, reputation and reliability, customer alignment, compliance requirements and strategic value. Submission of a partnership enquiry does not guarantee approval.
4
Roles and responsibilities
Each partner must:
- Act professionally and honestly.
- Provide accurate information.
- Protect confidential information.
- Respect intellectual property rights.
- Comply with applicable laws.
- Avoid misleading customers.
- Maintain appropriate business standards.
- Follow agreed project and partnership responsibilities.
Specific responsibilities may be documented in an individual partnership agreement.
5
Referral and commission arrangements
Referral fees, commissions, revenue sharing and other financial arrangements are not automatic. Any financial arrangement must be expressly agreed in writing. The agreement should identify:
- Eligible referrals.
- Commission percentage or fixed amount.
- Payment conditions.
- Qualification requirements.
- Payment schedule.
- Refund and cancellation adjustments.
- Reporting and verification arrangements.
Aftersolves is not required to pay commissions for unapproved, duplicate, fraudulent or ineligible referrals.
6
Intellectual property
All Aftersolves-owned intellectual property remains the property of Aftersolves unless expressly transferred in writing. This includes:
- Aftersolves Booking.
- Software and source code.
- Platforms and infrastructure.
- Proprietary systems.
- Development frameworks.
- Templates and components.
- Branding and logos.
- Technical documentation.
- Internal tools and workflows.
A partnership does not grant ownership of Aftersolves’ technology or proprietary materials. Partners may only use Aftersolves branding, materials and resources within the scope of an authorized arrangement.
7
Customer ownership and relationships
Unless expressly agreed otherwise:
- Each party retains its existing customer relationships.
- Customer introductions must be handled professionally.
- Customer information must be protected.
- Neither party may misrepresent the other’s services.
- Customer ownership and referral attribution must follow the applicable agreement.
Partners must not use confidential customer information for unauthorized purposes.
8
Confidentiality
Partners may receive confidential information relating to business strategies, pricing, customer information, software architecture, product roadmaps, commercial arrangements, internal processes and technical documentation. Such information must not be disclosed, copied or used outside the authorized partnership purpose. These obligations continue after the partnership ends.
9
Non-circumvention
Where a partner is introduced to a customer, supplier or commercial opportunity through Aftersolves, the partner must not knowingly use confidential introductions or information to bypass an expressly agreed commercial arrangement. This clause applies only to the extent permitted by applicable law and does not restrict independently developed relationships or lawful business activities.
10
Marketing and public representation
Partners must obtain appropriate approval before:
- Using Aftersolves’ logo.
- Publishing partnership announcements.
- Representing themselves as an official Aftersolves representative.
- Publishing joint case studies.
- Using Aftersolves branding in advertising.
- Making public statements on behalf of Aftersolves.
Unauthorized representations may result in termination of the partnership.
11
Financial responsibilities
Each party is responsible for its own operating expenses unless otherwise agreed. Shared expenses, referral payments, commissions, revenue sharing and project costs must be documented in writing. No party may assume that an expense will be reimbursed without prior approval.
12
Third-party services
Partners must respect third-party licensing, usage and service conditions. Neither party may authorize unlawful use of external software, APIs, domains, infrastructure or intellectual property.
13
Data protection
Partners must handle personal information responsibly and comply with applicable data protection laws. Personal information must only be collected, used, disclosed and transferred for authorized purposes. Where required, separate data processing or data-sharing agreements must be executed.
14
Conflicts of interest
Partners should disclose material conflicts of interest that could affect the partnership. Aftersolves may review potential conflicts and take reasonable steps to protect legitimate commercial interests.
15
Suspension and termination
Aftersolves may suspend or terminate a partnership where there is:
- A material breach of these Terms.
- Misrepresentation.
- Fraudulent conduct.
- Unauthorized use of intellectual property.
- Confidentiality violations.
- Misuse of customer information.
- Reputational damage caused by misconduct.
- Unlawful activity.
- Failure to meet agreed responsibilities.
Where appropriate, reasonable notice and an opportunity to remedy the breach may be provided.
16
Effect of termination
Upon termination:
- Authorization to use Aftersolves branding ends.
- Confidential information must be returned or securely deleted where appropriate.
- Outstanding payments will be reconciled.
- Existing contractual obligations remain enforceable.
- Accrued rights and obligations survive termination where applicable.
17
Limitation of liability
To the extent permitted by law, neither party is responsible for indirect or consequential losses arising from the partnership. Nothing in these Terms excludes liability that cannot legally be excluded.
19
Governing law
These Partnership Terms are governed by the laws of Malaysia. Disputes are subject to the jurisdiction of the competent courts of Malaysia.
